Carlyle's Filing for Smaller Investors

The Carlyle Group's SEC filing for CPG Carlyle Private Equity Fund LLC indicates a historical Gross Internal Rate of Return of 31%.  Here's the addendum:

Any performance information presented in this Confidential Memorandum does not reflect the Fund's Management Fee, Sub-Placement Agent Fee, expenses or a placement fee (if applicable) that are borne by Investors in the Fund which will reduce returns and in the aggregate are expected to be substantial.

When investments blow up due to management inattention or management methods that distort behavior, Carlyle has been know to plead puffery, i.e. Carlyle cited any implied promises were purely sales talk. .  

After Carlyle Capital Corporation, a $22 billion Guernsey based mortgage security fund, imploded The Carlyle Group ran from its carcass.  It claimed "unprecedented tumult" as a defense in a Carlyle Capital Corporation investor lawsuit.

Carlyle's good name is nowhere to be found in Stallion Oilfield Services bankruptcy.  They're not responsible for this new fund from the get go:

Carlyle is not a sponsor, promoter, adviser or affiliate of the Fund.  Past performance of Investment Funds sponsored by Carlyle is not indicative of future results.  The Fund may not invest in all of the Carlyle Investment Funds described herein.

 The SEC filing spoke to who can invest in this new fund:

The stated minimum initial investment in the Fund is $50,000, which minimum may be reduced by the Fund in the sole discretion of the Adviser based on consideration of various factors, including the Investor's overall relationship with the Adviser, the Investor's holdings in other funds affiliated with the Adviser, and such other matters as the Adviser may consider relevant at the time.  The minimum additional investment in the Fund is $10,000. 
For those interested in fees, here they are:

Maximum sales load - 3.5%
Maximum early redemtpion fee - 2%
Total annual management fee plus expenses - 3.68%
I can see why Carlyle would warn how aggregating fees could be substantial.  I'm not sure their defenses of "puffery" and "unprecedented tumult" are likewise.  Substance is the tangible nature of things. Carlyle seems the exact opposite.

FT's Puff Piece on Rubenstein

FT’s chief correspondent for international finance broke bread with Carlyle Group co-founder David Rubenstein at New York's Carlyle Hotel.  The lunch meeting provided Rubenstein with multiple opportunities to deliver his lines.  The Carlyle Hotel inspired their name because "it sounded British and opulent." 

FT missed Carlyle's back door takeover of British carpet maker Brintons'. Carlyle dumped Brintons' pension on the public, then turned around and asked for a huge government subsidy to install new technology. This is how Carlyle makes 30% return on equity.

The international finance reporter missed Carlyle's 185 subsidiaries in the Cayman Islands, it's affiliate's sales to Iran and the failure of at least ten Carlyle affiliates, including Carlyle Capital Corporation, a monster mortgage backed security fund in Guernsey.  He didn't probe Carlyle's owning Landmark Aviation, a rumored rendition flyer for Uncle Sam. 

Also untouched was Carlyle's commitment to provide 3,000 new Texas jobs under affiliate Vought Aircraft Industries.  For $35 million over six years, Carlyle cut 35 jobs in Dallas/Fort Worth.  Governor Rick Perry renegotiated the deal in secret as Carlyle prepared to sell Vought before severely lying about its impact. 

While the article mentioned Carlyle's inside political connections, it failed to point out how the Bush White House's Lessons Learned report on Hurricane Katrina made no mention of the hospital with the highest death toll post landfall.  That was Carlyle's LifeCare unit in Memorial Medical Center, the site of 25 LifeCare patient deaths. 

FT did run a nice puff piece on David Rubenstein, one where he delivered his latest lines.  When did business reporting devolve into taking dictation in our PEU world?  Apparently, some time ago

Can LifeCare's Bankruptcy Fiction Save Carlyle's Face?

The Carlyle Group's story of LifeCare's bankruptcy rings hollow, given LifeCare's filings with the Securities & Exchange Commission.  The bankruptcy version has LifeCare taking a massive blow from Katrina and not recovering.  :

Lifecare took on significant debt to help finance Carlyle's 2005 acquisition, then saw Hurricane Katrina destroy its three New Orleans facilities, "causing untold human suffering to patients and staff and significant economic damage to the enterprise,” CEO Philip P. Douglas said in a declaration filed with the court.

LifeCare's 2006 10-K stated:
As a result of the losses incurred in connection with Hurricane Katrina, we recorded impairment charges on long-lived assets, identifiable intangible assets and goodwill for the twelve months ended December 31, 2005 of $74.2 million. To date we have received $13.2 million in insurance proceeds pursuant to the policies that were in force at the time of the hurricane. We currently believe that all available amounts have been received pursuant to the policy limits in connection with our Hurricane Katrina related losses.
Consider higher non-Katrina expenses that year.  The 2006 report identified several related to Carlyle's ownership:

$54.5 million stock compensation expense
$18.6 million increase in net interest expense
$2.9 million increase in depreciation and amortization expense

By 2011 there was no evidence of Katrina's lingering impact.

All claims raised in connection with Hurricane Katrina have been settled with no significant impact to us.

Here's what killed LifeCare, the cost of private equity ownership.  Lifecare's capital structure began with 71% debt and 29% Carlyle equity.  Law360 reported:

Founded in Louisiana in 1992, LifeCare had expanded to Texas, Pennsylvania, Ohio and Nevada when it agreed to be acquired by Carlyle for approximately $570 million, a transaction funded in part by a $255 million loan and $150 million in subordinated notes.
Carlyle increased LifeCare's debt to $431 million from the original $405 million.  With total assets falling to $512 million, LifeCare was up to 84% debt financed.  Carlyle's equity comprised only 16% of the company, 

Katrina gave LifeCare a hit, but Carlyle ran it off the bridge.   For this LifeCare paid $500,000 a year in management fees.  The Katrina story is to maintain Carlyle's image

Collusion Case Remains Alive

Dealbook reported on the shareholder lawsuit alleging private equity underwriters colluded on club deals, as well as orchestrated bidding:

K.K.R. expressly asked its competitors to “step down on HCA” and not bid on the company, according to an e-mail in the case that was written by Daniel Akerson, then a partner at Carlyle and now the chief executive of General Motors.

The judge also pointed to an e-mail sent by Hamilton E. James, the president of Blackstone, to his colleagues just after the Freescale deal was announced about Henry R. Kravis, the co-founder of K.K.R. and a frequent rival to Blackstone when competing for deals.

“Henry Kravis just called to say congratulations and that they were standing down because he had told me before they would not jump a signed deal of ours,” Mr. James wrote.

Put PEU owners on the stand under oath and televise it on CSPAN.  The business media won't ask tough questions, fearing access to the world's new Robber Barons would be withdrawn.

Side note:  The HCA deal added over $15 billion in new health care costs to American public. 

PEU's Tentacles in IPO Tax Benefits


Dealbook reported the latest method private equity underwriters (PEU's) use to suck cash from affiliates after going public.  It's an Income Tax Receivable Agreement:

In a typical buyout, the owners make money by sprucing up the operations and selling the business to another company or public investors. Private equity firms have also found ways to profit before the so-called exit with special one-time dividends and annual management fees.

Now, buyout specialists are increasingly collecting continuing payouts from their former portfolio companies. The strategy, known as an income tax receivable agreement, has been quietly employed in dozens of recent offerings backed by private equity, including those involving PBF Energy, Vantiv and Dynavox.
One expert stated, "It’s meant to extricate cash value from taxes."  Proving PEU boys can monetize anything.  As a new shareholder I would expect the company's tax advantages post IPO to accrue to shareholder's not the selling PEU. 

That would be like me selling a house and keeping 85% of the increase in the mortgage deduction being paid by the new owner. 

A few lines in a S-1 hardly seems proper disclosure for a  multi-year tax receivable agreement worth millions.  The agreement is not arms length, not properly disclosed and reeks of fraud.

Carlyle Group-Iran Dealings Not News

The Carlyle Group included information on an affiliate's sales to Iran in its recent 10-K filing with the SEC.  Applus promotes itself as one of the world's leading companies in industrial testing, inspection and certification.  Applus sold services worth €1,189,532 to Iran with estimated net profits of approximately €200,000.


Blackstone and KKR, fellow private equity underwriters (PEU's), had Iranian disclosures of their own. It doesn't hurt to have a toehold in Iran for when the U.S. and our 51st state open it up for Western commerce. Libya is instructive for how this might happen

Not one reporter from Bloomberg, WSJ, FT, Dealbook or CNBC went out on a limb to report this fact.  It'd be more like a plank, given the reporter would lose access to modern day Robber Barons, Carlyle's David Rubenstein, KKR's Henry Kravis & Blackstone's Stephen Schwarzman.  They might lose their job for reporting any facts that would put such great men in a bad light.

Corporate narcissists are exceedingly good at managing their image, i.e. keeping their good name.

Update 3-24-13:  Even DowJones couldn't find it in their piece on corporate responsibility and near universal Iran sanctions.

Update 2-28-13:  Quartz reported on a number of U.S. companies doing business with Iran, including PEU's.
